1Acceptance of these terms

By accessing or using this website you accept these terms. If you do not accept them, please do not use the site. Some areas — in particular the dealer portal — have their own terms, which apply in addition to these. Where a supply of goods is involved, our Terms and Conditions of Sale govern the supply and take precedence over these terms to the extent of any inconsistency.

2Who operates this site

jotexfabrics.com is owned and run by Jotex Sdn. Bhd. (Company No. 238604-V / 199201007100), 4962, Oakland Industrial Park, Jalan Haruan 7, 70200 Seremban, Negeri Sembilan, Malaysia. Where a page links through to the dealer portal at jotex.co or to another Jotex group site, that site may carry its own terms, which apply to your use of it.

3Permitted use

We grant you a limited, non-exclusive, non-transferable and revocable right to access and view this site, and to use its content for the purpose of evaluating, specifying, quoting or purchasing Jotex products. You may print or download extracts for that purpose.

You may not:

• Resell, redistribute or commercially exploit the content, or present it as your own
• Systematically extract, scrape or copy the catalogue, images, specifications or pricing, whether manually or by automated means
• Use the content to develop, market or support a competing product or catalogue
• Remove or alter any copyright, trademark or other proprietary notice
• Interfere with the operation or security of the site, or attempt to gain unauthorised access to any part of it

4Colour, texture and dye lot

Colour, texture, sheen, weave and scale shown on this site are affected by photography and lighting conditions, your display calibration, operating system colour profile, browser rendering, and screen brightness. Two people looking at the same page on different devices will not see the same colour.

Textiles also vary in ways no image can capture. Dye lots differ between production runs, so fabric from one batch may not match fabric of the same reference from another. Natural and blended yarns vary within a roll. Pile fabrics such as velvet show shading and pressure marks that are inherent to the construction and are not defects. Pattern repeat, width and drop can vary within manufacturing tolerance.

For this reason we recommend that you order all fabric required for a single project in one order and from one batch, and that you check every roll for colour, pattern and flaws before cutting. Claims relating to colour, batch variation or visible defects must be raised before the fabric is cut or made up, in accordance with our Terms and Conditions of Sale. Once fabric has been cut or processed we cannot accept a claim on those grounds.

5Technical and performance data

Composition, weight, width, rub counts, lightfastness ratings, flame retardancy classifications, water and stain resistance, openness factors and similar figures are typical values obtained under specified laboratory test conditions on sample material. They are indicative, not a guarantee of performance in your application.

Actual performance depends on the end use, the construction and installation, exposure to sunlight and humidity, cleaning method, and normal wear. Where a fabric is described as flame retardant, meeting a particular standard, or suitable for contract or medical use, you are responsible for confirming that it meets the specific regulatory, building-code and project requirements that apply to your installation, and for obtaining current test certificates from us for that batch where certification is required.

Care and cleaning guidance is given in good faith. Test any cleaning method on a concealed area first. We are not responsible for damage caused by cleaning, treatment or processing carried out by you or a third party.

6Availability, specification and pricing

We sell into several markets and our range differs between them. A product shown here may not be sold in your country, may be out of stock, or may have been discontinued since the page was last updated. Listing a product is not a representation that we hold it or that we will continue to carry it. Check current stock with your Jotex representative or in the dealer portal.

Mills revise constructions and retire colourways, so specifications, colour ranges and availability can change at any time. Prices shown on the site or in the dealer portal are indicative; the price that applies is the one confirmed in our order acknowledgement or invoice. We correct errors in listed prices, descriptions or stock figures when we find them, and an obvious error does not bind us.

7Dealer portal accounts

Dealer portal access is granted to approved businesses for their own use. You are responsible for keeping your login credentials confidential, for all activity under your account, and for telling us promptly if you suspect unauthorised use. Do not share credentials with anyone outside your business.

Pricing, stock levels, margin information and trade documentation available through the portal are confidential to you and must not be disclosed to third parties or published.

Use the portal the way it is meant to be used: sign in as yourself, look things up, and order. Do not script, scrape or bulk-export stock and pricing data, run automated queries against it, share a login across businesses, or attempt to reach data belonging to another account. We log portal access, and we may suspend or withdraw access where these terms or your trading terms are breached.

8The website assistant

The chat assistant on this site is automated software. It answers from a set of rules and prepared answers maintained by our team, drawn from our catalogue data. It is a starting point, not an authority: it can only answer what it has been given, and what it has been given can fall out of date between updates.

Specifically, an answer from the assistant:

• Is not a quotation, and does not fix a price
• Is not a stock reservation or a commitment that stock is available to you
• Is not a technical specification, a test certificate, or confirmation that a fabric meets a standard or code requirement
• Does not form a contract, vary an existing contract, or bind Jotex in any way
• May be out of date or incomplete, particularly on pricing, stock and lead times, which change faster than the answers behind it are rewritten

Before you quote a client, cut fabric, or place an order on the strength of something the assistant told you, confirm it with your Jotex representative or in the dealer portal. Sections 4 and 5 apply to anything the assistant says about colour and performance exactly as they apply to the rest of this site.

Do not use the assistant to submit passwords, payment details, identity numbers or anyone else’s personal information. Do not use it to attempt to extract our catalogue, pricing or system information in bulk, or to probe how the underlying system works. We log conversations and may withdraw access where it is misused.

9Orders and payment

An order you place through the dealer portal, by email or through a representative is an offer to buy on our Terms and Conditions of Sale. A contract is formed only when we issue an order acknowledgement. Until then we may decline the order, in whole or in part, including where stock shown as available has since been allocated, where a price was listed in error, or where your account is outside its credit terms.

Stock figures shown in the portal are a live view of a moving position and are not a reservation. Fabric is allocated when an order is acknowledged, not when it is viewed.

Where online card payment is offered in future, payment will be taken by a licensed payment gateway operating under its own terms. Jotex does not receive or store your card details. Any dispute about the payment mechanism itself is between you and the gateway operator or your card issuer; disputes about the goods remain with us.

10Intellectual property

All content on this site — text, photography, fabric imagery, pattern and design artwork, collection names, specifications, layouts, graphics, video and software — is owned by or licensed to Jotex Sdn. Bhd. and is protected by copyright, trademark and design laws in Malaysia and internationally.

JOTEX, POSH Creation, TEKUSU, YarnGuard, JOTEX Outdoor and JOTEX Medical, together with the associated logos and get-up, are trademarks of the Jotex group. Nothing on this site grants you any licence to use them. Any unauthorised use of our brands, designs or imagery may be actionable.

Other names and marks appearing on the site are the property of their respective owners and are used to identify those parties' products and services.

11Image download licence

Some product photography on this site can be downloaded. Downloading it gives you a revocable, non-exclusive and non-transferable licence, for one purpose only: selling the Jotex fabric pictured. Use it in your quotations, mood boards, client presentations, catalogues and social posts for that fabric.

What the licence does not cover: retouching that misrepresents the colour, texture or construction of the product; illustrating another supplier's goods; passing the photography off as your own work; or sub-licensing it to anyone else. How you use a downloaded image is your responsibility, including any claim it gives rise to. We can end the licence at any time, and you should stop using the images when we do.

12Material you send us

If you send us suggestions, ideas or feedback about our products, collections or this site — other than personal data, which is handled under our Privacy Statement, and other than information exchanged under a signed confidentiality agreement — we may use it without restriction and without any obligation to you. We are not obliged to use it, to keep it confidential, or to pay for it.

Please do not send us confidential or proprietary information through this site. Internet transmissions are not secure and may be intercepted.

13Third-party links

This site may link to other websites. We provide those links for convenience only. We do not control those sites, do not endorse them, and are not responsible for their content, products, or privacy practices. Visiting them is at your own risk.

14Availability of the site

We aim to keep the site up, but we do not promise uninterrupted access. Maintenance, upgrades, supplier outages and commercial decisions may mean part or all of the site is unavailable, restricted or withdrawn. We will give notice where it is practical to do so, and we accept no liability for the interruption itself.

We scan and monitor the site, but no operator can guarantee that a website or a downloaded file carries no malicious code. Run your own anti-virus protection, and keep your own backups.

15No warranty

We publish this site as a catalogue and reference, not as a warranted specification. It is provided on an “as is” and “as available” basis, and to the fullest extent the law allows we give no representation, warranty or condition of any kind, express or implied — including that the content is accurate, complete, current, of satisfactory quality, suitable for any particular purpose, or free of third-party rights.

Nothing in these terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

16Limitation of liability

To the fullest extent the law allows, we are not liable for indirect, incidental, special or consequential loss, nor for lost profit, revenue, business, contracts, goodwill or anticipated savings, however arising from your use of this site or your inability to use it. That expressly includes loss arising from a specification, quotation or cutting decision made in reliance on colour images or technical figures published here rather than on a physical swatch and a current test certificate.

Our total aggregate liability arising out of or in connection with your use of this site, whether in contract, tort (including negligence), statute or otherwise, is limited to [RM1,000.00 / the amount you paid to us for the goods to which the claim relates, whichever is greater].

This section does not affect your rights or our obligations under a contract of sale between us, which are governed by our Terms and Conditions of Sale.

17Indemnity

You agree to indemnify us and our officers, employees and agents against any claim, loss, liability and reasonable cost arising from your breach of these terms, your misuse of the site, or your infringement of any third party's rights through your use of content obtained from this site.

18Changes to these terms

We may amend these terms at any time by posting the revised version on this page with an updated date. Changes apply from the date they are posted. Continued use of the site after that date means you accept the revised terms.

19Governing law

These terms are governed by and construed in accordance with the laws of Malaysia. You and we submit to the exclusive jurisdiction of the courts of Malaysia in respect of any dispute arising out of or in connection with these terms or your use of the site.

20General

These terms, together with our Privacy Statement and Cookie Policy, are the entire agreement between us regarding your use of this site. If any provision is held unenforceable, the rest remains in force. A delay in enforcing any right is not a waiver of it. You may not assign your rights under these terms without our written consent.
